Welcome to [AD HENG]'s services. By using our website, consulting with us, or purchasing our services (including advertising, KOL marketing, and website development), you agree to be bound by the following terms.

1. Service Content
Advertising Placement and Marketing: We provide strategy planning, creative optimization and placement management for Meta, Google and Xiaohongshu ads, as well as KOL matching and management.

Website Development: We provide UI/UX design, web programming, and system development services based on separate contracts or Statements of Work (SOWs) signed with our clients.

2. Customer's Responsibilities and Authorization
Data Provision: Clients must provide true, accurate, and legal materials, trademarks, company information, and product information. If any materials provided by the client infringe upon the intellectual property rights of any third party, the client shall bear full legal responsibility.

Account Authorization: Clients must cooperate by providing the necessary access permissions to the relevant advertising platform or server (hosting).

Compliance Commitment: Clients must ensure that the products or services they promote comply with Hong Kong laws (such as the Trade Descriptions Ordinance) and the policies of the respective advertising platforms.

3. Costs, Budget and Payment Terms
Service Fees and Ad Spends: Unless otherwise agreed, ad spend collected directly by the advertising platform shall be paid by the client through their linked credit card or prepaid to us by the client in advance. Our service fee will be collected periodically as stipulated in the contract.

Website development payments: Website development projects are usually paid in installments (such as deposit, mid-term payment, and final payment upon acceptance), with the specific percentages depending on the individual contract.

Late Payment: If a customer fails to make payment on time, we reserve the right to suspend advertising or terminate website development.

4. Intellectual Property Rights
Development outcome: In the website development project, once the client has paid all contract fees in full, the customized source code and design copyright of the website will belong to the client.

Third-party components: If the website contains third-party open-source packages, fonts, plugins or libraries, their intellectual property rights still belong to the original authors, and customers must comply with the relevant licensing agreements.

5. Disclaimer and Limitations of Liability
Advertising effectiveness: The effectiveness of advertising campaigns (such as click-through rate, conversion rate, ROI, Xiaohongshu exposure, etc.) is affected by multiple external factors, including market competition, platform algorithms, and the competitiveness of the client's products. We promise to make every effort to optimize professionally, but we do not guarantee specific business performance or sales targets.

Platform Policies: Meta, Google, Xiaohongshu, and other platforms have the final review authority. We are not liable for account suspension due to platform algorithm changes, policy adjustments, or customer product violations.

6. Applicable Law and Jurisdiction
These Terms of Service shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any dispute arising out of or relating to these Terms shall be submitted to the courts of Hong Kong for adjudication.
